Job Description

The National Mergers and Acquisitions (M and A) group is comprised of subject matter specialists in the areas of Corporate and Partnership Tax M and A. The group advises multinational corporations, privately held companies, and partnerships on the tax aspects of planning, structuring, and executing transactions of all sizes including but not limited to the following:

-analyzes proposed restructuring and acquisition transactions;

-interprets complex statutory and regulatory actions relating to corporate and partnership transactions;

-performs quantitative analysis to assess the tax consequences of specific transactions;

-assist clients with regulatory and legislative initiatives;

  • and, prepares for client review submission requests for private letter rulings and technical advice from the IRS.

PwC's Partnership Modeling practice offers a broad range of partnership solutions addressing all stages of partnership operations including: partnership formation; operations including disguised sales and income allocations; partnership recapitalizations and revaluations; current distributions and associated basis adjustments; sales of partnership interests; and debt allocations.

The group coordinates closely with the PwC Mergers and Acquisitions group and focuses primarily on transactional support.

PwC's Partnership Modeling practice also focuses on computations relating to a number of discrete transactions that are common in the market for which modeling is necessary.

These structures are both domestic and international and include internal and third party transactions.

Position/Program Requirements

Minimum Year(s) of Experience: 5

Minimum Degree Required: Bachelor's degree in Accounting or other business-focused fields of study

Certification(s) Required: CPA or Member of the Bar

Degree Preferred: Juris Doctorate or Master's degree in Accounting or Taxation

Certification(s) Preferred: CPA

Knowledge Preferred:

Demonstrates proven extensive knowledge and success in roles managing consulting engagements involving M&A practices, preferably for a global network of professional services consulting firms, especially the areas of partnership M&A, private equity and post-deal integration, and the following related areas.

-Partnership taxation, including transactional analytics, allocations and capital accounting;

-Tax consulting services, transaction structuring for tax issues, restructuring, strategy formulation, financial modeling and tax planning.

Skills Preferred:

Demonstrates proven extensive technical skills and success in a role involving the application and interpretation of US federal income tax law as it relates to partnerships, tax efficient structuring and use of debt, and technical writing.

Proven extensive ability to write complex formulas in Excel in order to identify issues and solve problems.

Demonstrates proven extensive skills and success in roles identifying and addressing client needs: actively participating in client discussions and meetings; communicating a broad range of Firm services;

-managing engagements including preparing concise, accurate documents and balancing project economics management with the occurrence of unanticipated issues.

Demonstrates proven extensive skills and success as a team leader: supervising teams to create an atmosphere of trust; seeking diverse views to encourage improvement and innovation; and coaching staff including providing timely meaningful written and verbal feedback.
